Consignment Agreement

US Collectibles NE LLC. Version 3.1, 2026-10-03.

Your Effective Date is the date you accept this Agreement in the Consignor Portal. Your signed copy, with that date, is available from the portal after signing.

Parties

This Consignment Agreement ("Agreement") is entered into between US Collectibles NE LLC, a Nebraska limited liability company, located at 15418 Weir St #250, Omaha, NE 68135 ("Company"), and [Consignor Name], located at [Consignor Address] ("Consignor").

Effective Date: the date Consignor electronically accepts this Agreement through the Consignor Portal at uscollectiblesne.com, or the date this Agreement is signed by both parties, whichever is earlier.

Consignor wishes to sell certain items ("Items") on consignment with Company and Company wishes to sell Items on consignment on behalf of Consignor.

Article 1. Consignment Terms

1.1 Acceptance of Items

Consignor agrees to deliver Items for consignment to the Company and grants Company the exclusive right to market and sell the Items pursuant to the terms of this Agreement. During the active consignment period defined in Section 1.5, Consignor will not list the same Items for sale through any other channel. Consignor is solely responsible for the cost of delivery of Items to Company. All risk of loss or damage to Items while in transit remains with Consignor. The Company will list, market, and use reasonable efforts to sell Items on behalf of the Consignor through the Company's online auction platform at uscollectiblesne.com and, at the Company's discretion, through third-party auction marketplaces including, but not limited to, HiBid and eBay. Consignor grants permission to the Company to photograph, videotape, or otherwise document Consignor's Items and to use the resulting images in marketing the consigned Items.

1.2 Listing Format

The Company markets Items in two formats, at Company's discretion:

  • Timed online auction (default), with the following standard parameters:
    • Auction duration: 7 days
    • Auction close time: Sunday at 8:00 PM Central Time
    • Soft-close procedure: a bid placed in the final 60 seconds extends the lot end time by 30 seconds to prevent last-second sniping
    • Buyer premium: the buyer of an Item pays 10% of the hammer price to Company as a buyer premium. The buyer premium is paid by the buyer and is not deducted from Consignor's proceeds.
  • Fixed-price store ("Store BIN"), where Items are listed at a Company-set price for immediate purchase. The same commission tiers in Section 2.2 apply to Store sales. Store listings count toward the 90-day consignment period in Section 1.5.

1.3 Item Ownership and Condition

Consignor represents to the Company that: (a) Consignor owns and has good and marketable title to all Items consigned under this Agreement; (b) all Items are authentic, are accurately described on the intake form, and are free of known defects not disclosed to the Company on the intake form; (c) there are no liens, judgments, or other encumbrances against ownership of the Items; and (d) Consignor has full legal right and authority to sell the Items.

1.4 Title

Consignor retains title and ownership of Items until such Items are sold. The Company does not purchase Items and assumes no ownership interest in the Items.

1.5 Consignment Period

Items will be actively listed for a period of 90 days from the date of intake. The 90-day consignment period is structured as follows (subject to adjustment at the Company's discretion):

  • Days 1-30: Active listing in an auction or Store BIN at reserve price or starting bid as determined by Company in its reasonable discretion, unless otherwise agreed to in writing between Consignor and Company.
  • Days 31-60: Company may reduce reserve price or the starting bid price if the Item has not sold; Consignor will be notified of the adjusted price.
  • Days 61-90: Final listing period; Company may list at reduced price or no reserve at its discretion.
  • Day 90+: After 90 days, Consignor must elect within 7 days by written notice to the Company to (a) extend the consignment period, (b) accept a further price reduction, or (c) request return of the Item at Consignor's shipping cost. Consignor's failure to respond in writing to notice from Company within 7 days constitutes authorization to continue listing at the Company's discretion.
  • Unclaimed unsold Items: Consignor's failure to retrieve unsold Items and pay any accrued storage charges within 30 days of the expiration of the consignment period, unless other arrangements have been agreed upon, will result in the Item becoming the Company's property to be donated or otherwise disposed of in the Company's sole discretion.

1.6 Item Intake

The Company will provide a written intake record through the Company's consignor portal ("Consignor Portal") at uscollectiblesne.com, describing each Item accepted based on information from Consignor. Consignor may view intake records, Item status, and settlement history through the Consignor Portal at any time.

1.7 AI-Estimated Grades and Cert Lookup

The Company accepts Items across multiple categories, including coins, currency, sports cards, sports memorabilia, jewelry & watches, and other collectibles. The Company uses in-house AI tools to estimate condition grades for Items and to verify slab and slab-equivalent certification numbers issued by recognized professional grading services, including:

  • PCGS (Professional Coin Grading Service)
  • NGC (Numismatic Guaranty Company)
  • ANACS (American Numismatic Association Certification Service)
  • ICG (Independent Coin Graders)
  • PSA (Professional Sports Authenticator)
  • BGS (Beckett Grading Services)
  • SGC (Sportscard Guaranty Corporation)
  • CGC (Certified Guaranty Company)

AI-estimated grades are not professional certifications and are clearly labeled as in-house estimates wherever displayed. Where a slab certification is present, the issuing service's published grade overrides the AI estimate. The Company makes no representation or warranty that AI-estimated grades match what a professional grading service would assign.

1.8 Consignor Withdrawal

Through the Consignor Portal, Consignor may withdraw an Item from consignment at any time before the Item enters an active auction or store listing. Once an Item is in an active auction, is listed in the store, has been sold, or has shipped, withdrawal is no longer available through the portal. If an Item is in an active auction or store listing, Consignor must contact the Company directly to request withdrawal, and the Company will use reasonable efforts to remove the Item. The Company reserves the right to charge Consignor for any applicable pickup, photography, storage, or delivery fees that have accrued before withdrawal.

Article 2. Pricing and Commission

2.1 Pricing Authority

Consignor authorizes the Company to set starting bids, reserve prices, and Store fixed prices for Consignor's Items in the Company's reasonable judgment, unless a starting bid, reserve price, or Store price is agreed in writing between Consignor and Company at intake.

2.2 Commission Schedule

Upon the sale of an Item, the Company will receive a commission, which will be deducted from the sale proceeds and is based on cumulative settled proceeds from the sale of Consignor's Items as follows:

TierCumulative Settled ProceedsCommission RateConsignor Keeps
Standard$0 to $24,99920%80%
Silver$25,000 to $49,99918%82%
Gold$50,000+15%85%

Tier upgrades are automatic and apply to all future sales once the cumulative settled-proceeds threshold is reached. Once achieved, Consignor's Tier status does not decrease during the term of this Agreement.

2.3 Fees

Any fees that may be deducted from Consignor proceeds must be listed below or otherwise disclosed in writing signed by the parties at intake (or in a written amendment to this Agreement). If a fee is not disclosed in writing, it will not be charged. Fees that may apply include:

FeeHow CalculatedTrigger

Storage Fee$1.00 per day per Item, beginning on day 31 after intakeApplies to unsold or unclaimed Items remaining in Company custody. The first 30 days of storage are free. Storage fee accrues until the Item sells, is returned to the Consignor, is donated, or is otherwise disposed of under Section 1.5
Item Return FeeActual carrier cost (USPS, UPS, etc.)If unsold Item is returned to Consignor
Photography (optional)Amount determined at intakeIf professional photography of an Item is requested
Per-Item Flat Shipping OverrideAmount disclosed at the time the Item is listed in the StoreWhen Company elects to quote a flat shipping rate on a fixed-price Store Item; disclosed in the Consignor Portal before listing
Third-Party Marketplace FeesActual amount charged by the marketplace (e.g., HiBid per-auction listing fee), if Company elects to cross-list the ItemWhen Company cross-lists an Item to a third-party marketplace under Section 1.1

Storage fees under s2.3 are currently waived.

2.4 No Guarantee of Sale

The Company will use its reasonable efforts to market and sell Consignor's Items, but Company does not represent or guarantee that any Item will sell.

Article 3. Payment

3.1 Payment Schedule

Proceeds from the sale of Consignor's Items, after deduction of Company's commission and any applicable fees, are paid on a weekly cycle following confirmed and settled sales. Proceeds from auctions closing on Sunday and Store sales completed during the week will typically be available for payout the following Friday, subject to receipt and confirmation of buyer's payment and the Holdback Reserve described in Section 3.5.

3.2 Payment Method

Proceeds are paid via Stripe Connect, a third-party electronic payment platform. Consignor is required to complete Stripe Connect onboarding registration (including identity verification and bank account linking) before proceeds can be disbursed. The Company does not issue paper checks unless otherwise required by law.

3.3 Buyer Charges

Buyers are charged automatically upon the closing of an auction sale or upon checkout of a Store sale, in each case using the buyer's credit card on file. Consignor proceeds for each sale are calculated automatically at the moment of sale, based on the sale price minus the applicable commission and any disclosed fees; no manual invoicing is required on either side. If a buyer's payment fails, the Company will use reasonable efforts to collect payment. Consignor proceeds are not disbursed until buyer payment is received and confirmed; however, Company is not liable or responsible if buyer fails to make payment.

3.4 Disputed Transactions / Chargebacks

If a sale is reversed, disputed, or charged back by a buyer, upon receipt of notice thereof from Company, Company may offset the reversed amount against other current or future Consignor sale proceeds and/or against the Holdback Reserve (as described in Sec. 3.5 below). If additional (or sufficient) Consignor sale proceeds or Holdback Reserve are not available, the Company may request that Consignor remit back to the Company to cover the amount that was reversed, disputed, and charged back. If such amount is not remitted to the Company within 15 days of notice, the Company may offset the reversed amount against future Consignor sale proceeds as such may become available and/or pursue such other actions as may be legally available.

3.5 Holdback Reserve for Chargeback Protection

To protect both parties against the risk of buyer chargebacks that arrive after Consignor proceeds have been paid out, the Company will withhold a ten percent (10%) holdback reserve (“Holdback Reserve”) from each settlement for a period of thirty (30) days following the date that settlement is paid out to Consignor (the payout date). At the end of the 30-day holdback period, the held amount is released to Consignor in the next regular weekly payout cycle, provided no chargeback or dispute has been initiated against the underlying transaction. If a chargeback is initiated during the holdback period, the held amount may be applied against the disputed sum in accordance with Section 3.4. The Holdback Reserve does not affect Tier-qualification math under Section 2.2; the full settled proceeds count toward Cumulative Settled Proceeds.

3.6 Buyer Returns

The Company offers buyers a limited 7-day return window for Items that are materially as-not-described as determined in the Company's discretion. If a buyer return is accepted under the buyer-facing terms of service, the corresponding sale is treated as reversed under Section 3.4: proceeds previously paid or accrued to Consignor are clawed back or offset, and the Item may be re-listed under this Agreement at Company's discretion, restarting any then-remaining consignment period under Section 1.5.

Article 4. Tax Obligations

4.1 W-9 Requirement

All Consignors must provide a completed IRS Form W-9 to the Company before any payment is issued, regardless of expected sale proceeds. The Company will issue a 1099-NEC to Consignors who receive $2,000 or more in sale proceeds under this Agreement in a calendar year (or such other annual threshold as the IRS may set from time to time), in accordance with IRS requirements.

4.2 Consignor Responsibility

Consignor is solely responsible for reporting and paying any federal, state, or local taxes on proceeds received under this Agreement. The Company does not provide tax advice.

4.3 Withholding

If a valid W-9 is not provided when required, the Company may withhold backup withholding at the applicable IRS rate from Consignor proceeds.

4.4 Sales Tax

The Company collects and remits state and local sales tax on consignment sales in any jurisdiction where the Company has economic nexus under applicable state law, using third-party sales-tax automation services. Sales tax is collected from the buyer at the time of purchase and is not deducted from Consignor proceeds. The Company reserves the right to update the list of nexus jurisdictions from time to time. Updates are reflected in the Consignor Portal without further amendment to this Agreement.

Article 5. Data and Privacy

5.1 Data Collection

The Company collects and stores Consignor personal information including name, address, email, optional phone number, and tax identification number (when required) for the purposes of account management, payment processing, and tax reporting. Item photographs uploaded by Consignor are stored in Cloudflare R2 (US region). All data handling is described in greater detail in the Company's Privacy Policy at uscollectiblesne.com/privacy.

5.2 Data Use

Consignor data will not be sold or shared with third parties except as required by law, for payment processing (including via Stripe Connect), for tax reporting (IRS and state tax authorities), for shipping (USPS, UPS, etc.), or for the AI item-identification and slab-cert lookup services described in Section 1.7. Item photographs may be sent to Anthropic, Google Cloud Vision, AWS Rekognition, or PCGS for the purposes described in Section 1.7; these processors do not receive Consignor personal information.

5.3 Data Retention

The Company retains Consignor records for a minimum of 7 years for tax and legal compliance purposes. Item photographs are retained indefinitely for auction archive purposes. The Company's audit log of account-level mutations is append-only and retained for a minimum of 7 years.

5.4 Security

The Company maintains reasonable technical and organizational measures to protect Consignor data, including encrypted connections (TLS 1.2+), row-level database security with deny-by-default RLS policies, an append-only audit log of account-level mutations, and secure cloud infrastructure hosted in the United States.

5.5 Multi-Role Accounts

A single user account may hold both buyer and consignor roles. When acting as a consignor, the user is bound by this Agreement; when acting as a buyer, the user is bound by the Buyer Terms of Service. Activity in each role is logged separately.

Article 6. Representations and Warranties

6.1 Consignor Warranties

Consignor represents and warrants to the Company that:

  • Consignor is the legal owner of all Items or has authority to consign them under this Agreement;
  • Consignor's Items are not stolen, counterfeit, or subject to liens or encumbrances;
  • Consignor's Items do not infringe any third-party intellectual property rights; and
  • All Item descriptions provided by Consignor to the Company are accurate and complete.

6.2 Indemnification

Consignor agrees to indemnify, hold harmless, and defend the Company, its owners, members, officers, employees, agents, affiliates, successors, and assigns from any and all claims, actions, causes of action, losses, or damages relating to or arising from (a) Consignor's breach or nonfulfillment of any representation, warranty, or obligation by Consignor set forth in this Agreement; (b) any negligent or willful act or omission in connection with Consignor's obligations under this Agreement; or (c) any failure by Consignor to comply with applicable law.

Article 7. Liability

7.1 Care of Items

The Company will exercise reasonable care in handling Items to maintain Items in the same condition as when delivered to Company. While in Company's possession, Items will be stored in a secure location. Notwithstanding the foregoing, Consignor understands and agrees that Company is not responsible for any loss, theft, or damage to any Items, regardless of the cause thereof. Company has no obligation to insure any Items. Consignor bears the risk of loss or damage to the Items at all times prior to the purchase and delivery of the Item to the buyer. The Company's total liability for loss or damage to Items while in its possession is limited to the lesser of the Item's fair market value at intake or $500 per Item.

7.2 Shipping

Items are shipped via USPS, UPS, or other commercial carriers within the continental United States only (48 contiguous states). The Company is not liable for loss or damage during transit. The Company will reasonably assist Consignor with insurance claims when applicable. Items sold for amounts over $500 will be shipped with insurance and signature confirmation; shipping costs (including insurance) are charged to the buyer.

7.3 Size Limitations

The Company accepts Items that fit in a medium box (18 x 14 x 12 inches) unless prior arrangements are made in writing for larger Items.

7.4 No Consequential Damages

The Company shall not be liable for any indirect, incidental, or consequential damages in any way arising under or in connection with this Agreement or Company services hereunder.

7.5 Force Majeure

The Company is not liable for delays or failures caused by events beyond its reasonable control.

Article 8. Term and Termination

8.1 Term

This Agreement is effective for a one (1) year term from the Effective Date and continues in effect thereafter for successive one (1) year terms until terminated by either party as provided herein.

8.2 Termination

Either party may terminate this Agreement for any reason or for no reason upon 30 days' prior written notice to the other party. Termination of the Agreement does not affect Items already listed or sales already completed.

8.3 Effect of Termination

Upon termination of the Agreement, the Company will complete any pending auctions or sales, remit any proceeds due to Consignor (subject to the Holdback Reserve in Section 3.5), and return any unsold Items to the Consignor at Consignor's shipping cost.
